1. Introduction

These Terms of Service ("Terms") govern your use of the website and services provided by Codebridge Technologies (Pty) Ltd ("we", "our", "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

Codebridge Technologies provides web design and development, mobile app development, web hosting and domain registration, and custom software development services. The specific scope, deliverables, timelines, and pricing for each project will be outlined in a separate project proposal or service agreement.

For ongoing service, a separate quote applies for ongoing services, this is separate from the one time services. Also an SLA document will be drafted based on the services required.

3. Project Proposals & Agreements

All services are provided based on a written proposal or agreement signed by both parties. Each agreement will specify:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing, payment terms, and deposit requirements
• Revision and approval process
• Intellectual property and ownership terms

4. Client Responsibilities

You agree to:

• Provide accurate and complete information required for the project
• Respond to requests for feedback, approvals, or content within agreed timeframes
• Ensure you have the legal right to use any content, images, or materials you provide
• Make timely payments as outlined in the agreement

5. Payment Terms

Payment terms are specified in each project agreement. Typically:

• A deposit (usually 50%) is required before work commences
• The balance is due upon project completion or as per milestone schedule
• Hosting and domain fees are billed monthly or annually in advance
• Late payments may result in service suspension or interest charges

6. Intellectual Property

Upon full payment, we transfer ownership of the final deliverables (website files, source code, designs) to you. We reserve the right to display completed work in our portfolio unless otherwise agreed in writing.

We retain ownership of any pre-existing tools, libraries, frameworks, or code snippets used in development, and grant you a perpetual, royalty-free license to use them as part of the delivered project.

7. Hosting & Domain Terms

For hosting and domain services:

• We provide a 99.9% uptime guarantee, excluding scheduled maintenance and events beyond our control
• Domain registrations are subject to the respective registry's terms and conditions
• We are not responsible for content hosted on our servers that violates South African law
• We reserve the right to suspend services for non-payment or Terms violations

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes business processes, strategies, source code, and personal data. This obligation survives the termination of our agreement.

9. Limitation of Liability

Codebridge Technologies will not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services. Our total liability is limited to the amount paid for the specific service giving rise to the claim.

10. Termination

Either party may terminate an agreement with written notice as specified in the project agreement. Upon termination, you will be billed for all work completed up to the termination date. Any deposits are non-refundable unless otherwise agreed.

11. Website Use

You may not use our website for any unlawful purpose or in violation of these Terms. You may not attempt to gain unauthorised access to our systems, interfere with the website's functionality, or use automated tools to scrape or collect data without permission.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

13. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the new Terms.
